App: TOOYN (App) (the “App”)
1. Acceptance of Terms
By downloading, accessing, or using the TOOYN App, you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree, you must not use the App.
2. Eligibility
You must be at least 18 years old and capable of forming a binding legal agreement to use the App. By creating an account, you represent that all information you provide is truthful and accurate. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.
3. Services Provided
TOOYN enables users to share their live or pinned location and discover service providers nearby and/or offer their own services to other users. The App acts solely as a neutral technology platform facilitating visibility, communication, and discovery between users. TOOYN and DM Professional Services do not employ, endorse, verify, or control users or the services they provide. All interactions, communications, or transactions between users occur at their own risk.
4. User Responsibilities and Conduct
You agree to use the App only for lawful purposes and in compliance with these Terms. You must not violate any laws, misuse the location or messaging features, post offensive or misleading content, or interfere with the App’s operation. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Location Data and Live Features
By enabling location features, you consent to TOOYN collecting and processing your device’s location data for showing your live or pinned location to other users. You can toggle your live status on or off at any time. DM Professional Services is not responsible for any consequences arising from sharing or displaying your location.
6. User-Provided Information and Consent
By creating an account or submitting profile information, you voluntarily provide personal details such as your name, contact information, photographs, service listings, and location data (“User Information”). You acknowledge and agree that all information is provided voluntarily and with your full consent. DM Professional Services may collect, process, store, use, and share this information for lawful purposes, including operating, improving, and marketing the App, analyzing usage trends, and sharing aggregated or anonymized data with third parties. We may provide information about users to third parties for lawful marketing, reporting, or analytical purposes. We will not sell personally identifiable information in violation of U.S. or California law, but may otherwise use or share data in any manner not prohibited by applicable law.
7. User Content
You retain ownership of any content you submit (“User Content”). By submitting User Content, you grant DM Professional Services a worldwide, royalty-free license to host, store, display, and process your content for the purpose of operating and improving the App.
8. Objectionable Content and Behavior
TOOYN maintains a strict zero-tolerance policy toward objectionable or abusive content and conduct. Users are prohibited from uploading, posting, or sharing any material that is sexually explicit, violent, harassing, discriminatory, hateful, or otherwise inappropriate.
Any behavior or content deemed objectionable by TOOYN may result in immediate removal of the content and permanent suspension or termination of the user’s account.
9. Response to Reports
If objectionable content or abusive behavior is reported by users or detected by our moderation systems, TOOYN will review and act on such reports within 24 hours.
Confirmed violations will lead to prompt removal of the offending content and ejection of the user responsible from the platform. TOOYN reserves the right to take additional measures as necessary to maintain a safe and respectful environment.
10. Payments and Subscriptions
Paid features or “Pro” subscriptions are processed through third-party providers. All billing terms, renewals, and cancellations are managed through your App Store or Stripe account. Refunds are subject to the policies of the respective payment processor.
11. Safety and Interaction Disclaimer
TOOYN is a public platform. Users are advised to exercise caution when sharing personal information or meeting others. DM Professional Services is not responsible for any interactions or outcomes between users. You acknowledge that use of the App is entirely at your own risk.
12. Intellectual Property
The TOOYN App, its design, logo, text, graphics, and all related materials are owned by DM Professional Services and protected by copyright and trademark laws. You may not copy, modify, distribute, or reverse-engineer any part of the App without written permission.
13. Third-Party Services
The App may integrate with third-party services such as Google Maps and Stripe. DM Professional Services is not responsible for the terms, functionality, or availability of those services.
14. Disclaimer of Warranties
The App is provided “as is” and “as available” without warranties of any kind, express or implied. DM Professional Services disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law, DM Professional Services, its owners, and affiliates shall not be liable for any indirect, incidental, or consequential damages, including data loss, profits, or injury resulting from use of the App.
16. Indemnification
You agree to indemnify and hold harmless DM Professional Services and its affiliates from any claims or damages arising from your use of the App or your violation of these Terms.
17. Termination
DM Professional Services reserves the right, at its sole discretion, to suspend, restrict, or terminate any user account or access to the App at any time and for any reason, with or without notice or explanation. In cases of termination, any rights granted to the user under these Terms will immediately cease. DM Professional Services shall not be liable for any damages or losses arising from such termination or suspension.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
19. Changes to These Terms
We reserve the right to update these Terms from time to time. Continued use of the App after updates constitutes acceptance of the new Terms.
